ILLINOIS PROTECTIVE OFFICIALS CONFERENCE

ARTICLES OF ASSOCIATION AND BYLAWS

 

BE IT KNOWN, that the code officials, of the State of Illinois, do hereby associate themselves as a conference and the following are their Articles of Association and Bylaws:

Article I

            The conference shall henceforth be called the Illinois Protective Officials Conference.

Article II

            The purpose for which the conference is formed are the following to wit:

            a.  To promote the proper administration and enforcement of building and related codes,

            b.  To promote the development and adoption of uniform codes in the Conference area,

            c.  To promote professionalism in the conduct of all members in their respective fields,

            d.  To promote cooperative effect in the solution of common problems, and

            e.  To promote professional growth through proper education and training,

            f.  To promote and provide evaluation and recognition of individual efforts,

All for the encouragement, welfare and enlightenment of code officials culminating to the betterment of themselves and their respective communities.

 

Articles III

            The conference is a nonprofit organization which may be incorporated as such if it is necessary in accordance with the statue laws of Illinois regulating the formation and organization of corporations.

 

Articles IV

 

Sec. 1  -  Membership:    Membership  is  this  conference  is  composed  of  the  following:

 

a. Government Membership - Government Membership shall be restricted to State, County, City, Town, and Village units of government with adopted building-related codes and enforcement authority in the State of Illinois.

b. Active Membership - Active Membership shall be restricted to the code officials of the Government Membership. 

                                                 

c. Association Membership - Association Membership shall be restricted to groups or entities representing interests directly or indirectly in good code administration and enforcement. 

                                                                                                                                      d. Associate Membership - Associate Membership shall be restricted to registered official representatives of Association Members.                                                                   

e. Professional Membership - Professional Membership shall be restricted to any individual actively engaged directly or indirectly in activities related to the codes and who by education has a degree in a related field.                                                                

f. Honorary Membership - Honorary Membership shall be restricted to individuals of distinction, who have rendered outstanding service in furtherance of the purposes of the Conference, and shall be conferred by a majority vote of the active members in a regular meeting.  All honorary members shall be vested with the privileges of active members. 

                                                                                                                                          

Sec. 2   -    Application of Membership:       Application for new membership shall be on forms provided by the Conference.  The complete form, together  with  the membership fee,  shall be submitted to the Secretary.   The Conference  shall vote on the  application at their next  regular meeting, and  it shall become  valid upon  approval by the majority of the active members present.   At such time, the official representative shall receive one (1) IPOC lapel pin.  

Article V

 Sec. 1   -    All   individual members   shall be  entitled to  the  following privileges  and benefits:

 

a.       All active Members shall have sole the exclusive right to vote, and at no time shall voting by proxy be permitted.  On any issue, subject to a vote, approval shall be by a simple majority of the active members present.

                                                           

b.      All individual members shall be entitled to the privileges of the floor for discussion at all meetings.                                                                                                                                             

c.       All Government Members shall be entitled to enable their qualified representatives to become individual Active Members of the Conference and thereon partake in the privileges and benefits due to such membership.                                                                                       

d.      All Association Members shall be entitled to choose their qualified representatives and become Associate Members, hence provide input to the Conference.                 

Article VI

 Sec.    1       The  annual   dues  for   either  Government   or    Association   Members shall  be as  established by the Conference and payable by the first Wednesday of February.                                                                                

Sec.    2          The annual dues for a Professional Member shall be as established by the Conference.                                                                                                                                   

Sec.    3                      No    dues    shall     be    collected    at     any   time    from      Honorary     Members.   

Sec.    4                  Conference Meeting Registration fees for each attending individual member shall be as established by the Conference.  No meeting registration shall be collected from honorable members.        

                                                                                                                                   

Sec.    5                  Registration Fees for each Attending member to special workshops or seminars shall be as prescribed by the organizing committee and approved by the Executive Committee. 

 

Sec.  6                   After the December meeting the Secretary shall mail out the annual dues renewal notices to all members. The annual dues shall be collected by the Treasure. The  Treasure shall compile a membership listing, which will be forwarded to the Secretary. The membership list shall then be dispersed to the full conference. Updating the membership list shall be on going.                                                                                                            

Article VII

                                                                                            

Sec.    1          The bi-monthly meeting of the Conference shall be on the first Wednesday of October, December, February, April, June, and August.  October shall be the beginning of each Conference year.  In addition, there shall be an executive committee meeting between October and December, time and date to be set by  committee.  Any appropriate date within the month by necessity may be set for such bi-monthly meeting upon approval by the Executive committee and due notification of all members.

 

Sec.    2          Any Special meeting in addition to the bi-monthly meetings shall be held only by a majority approval of such by attending members in a previous regular meeting.

Article VIII

 

Sec.   1            Officers   -   All officers shall be elected from the Conferences Active Membership of good standing.  The officers of the Conference shall consist of a President, Secretary, Treasurer, and Four (4) Trustees.

                                                                       

Sec.   2            Tenure  -  Each elected officer shall serve a tenure of 1 year except for trustees, who shall serve a 2-year term, beginning upon election during the October meeting of each year.  Two trustees shall be elected at the beginning for a tenure of one year after which the same elective position shall be subject to another election every even number year.                                                                                                                            

Sec.   3            Executive Committee  -  All duly elected officers and the immediate past president shall constitute the Executive Committee with the President as chairperson                              

Sec.   4            Duties of the President  -  The President shall preside at all meetings of the Conference and shall appoint/replace all chairpersons and members of committee not otherwise specifically provide for herein.  He/she shall perform all other and such usual duties as are performed by the president of an organization.  As President, he/she shall act as chairperson of the Executive Committee at all its functions.

 

Sec.  5                   Duties of the Secretary  -  The Secretary shall keep the minutes and records of meeting as required, conduct the correspondence of the Conference, and perform such official duties as are generally performed by the secretary of an organization. The Secretary shall assist the President in conduct of his/her office.  He/she shall act and perform the duties of the President during the latters incapacity to fulfill the functions of his/her office.

                       

Sec. 6        Duties of Treasurer  -  The Treasurer shall receive, disburse and supervise the financial affairs of the Conference in accordance with the provision of these bylaws and approved expenditures as directed by the Executive Committee.  He/she will submit a written report of his/her activities at each meeting. The Treasurer shall chair the Membership Committee.

                                             

Sec. 7       Duties of Trustees  -  The Trustees shall be responsible in helping all the other officers as members of the Executive Committee so that government of the Conference shall be in adherence to the purposes of the organization.  They shall pay special attention to all monetary transactions affecting funds of the Conference.  They shall be the auditing committee for the Treasurers annual report.  An elected trustee shall be appointed by the President to serve on the Membership Committee and one to serve on Building Safety Week activities.          
                                                                                                                                                 

Article IX

 

            The Executive Committee composed of all elected officers shall act as the principal managing body of the Conference regarding all its business and affairs.  It shall have such power as a representative body for the conference except in transactions of such magnitude as may require consensus or ratification of all Active Members

            The committee is further responsible for reporting all activities undertaken to the Conference for a majority ratification.

 

Article X

 

            At the August meeting, the President shall appoint a nominating Committee consisting of at least three active members of good standing.  The committee will be charged with recommending to the Conference a slate of qualified candidates for each elective post.  The same slate may be added to by the actual nominations from the floor during the election day.  The President will appoint one member as chairperson.  The Committee shall function in the same manner whenever a vacancy is to be filled.

                       

Article XI

 

            The President-elect may see fit to create other committees to satisfy the needs of the Conference at any time subject to concurrence of the Executive Board.

 

Article XII

 

All amendments to these bylaws must be proposed at regular session in writing, read before the membership, laid over until the next regular or special meeting before a vote can be taken on their adoption.  A two-thirds vote of all the members present shall be necessary for any change, addition or deletion to these bylaws.
